Cancellation & Refund Policy

memmoo is a business subscription service. This policy explains how to cancel a subscription, when a refund may be available, and how refund requests are processed.
KEY POINT: The applicable process depends on how memmoo was purchased. memmoo cannot directly refund money that it did not invoice or collect. If Microsoft, a CSP partner, distributor or reseller invoiced you, that organisation handles the cancellation and refund under its applicable terms.
This policy should be read with the applicable Order Form, Master Subscription Agreement, marketplace terms, Data Processing Addendum, Privacy Policy, Support Policy, any applicable Service Level Agreement, and Sub-processor Register.

Only section 5 onwards sets out memmoo's direct refund commitments for amounts invoiced and collected by Kloudpad Inc. If you are unsure which path applies, check the invoice or email support@memmoo.com with your account name and invoice number.
2. Microsoft commercial marketplace purchases
If you obtained memmoo through Microsoft commercial marketplace, the applicable software terms are with KLOUDPAD Mobility Research Private Limited under the applicable Microsoft marketplace contract and memmoo amendment terms. Microsoft may act as marketplace and billing agent. Microsoft handles cancellation and refund requests for amounts it invoiced or collected under its then-current rules and timelines.
2.1 What you should do
- Manage or cancel the subscription through the Microsoft account, tenant, billing account or administration interface used for the purchase.
- Submit any refund request through the associated Microsoft support or billing channel.
- Keep the cancellation confirmation, support reference and invoice details.
2.2 What memmoo will do
- Confirm subscription, provisioning and usage records available to us
- Provide information reasonably required to support Microsoft's review
- Address product issues under the Support Policy
- Stop provisioning when the relevant subscription terminates
- Coordinate with Microsoft for an express memmoo termination or credit right, including a qualifying unresolved sub-processor objection or uncured material breach
For a contractual termination right granted directly by memmoo, contact legal@memmoo.com. memmoo cannot refund money collected by Microsoft, alter Microsoft's eligibility rules or timeline, or cancel a Microsoft billing relationship on your behalf.
3. Microsoft CSP partner purchases
Where a Microsoft Cloud Solution Provider partner sold and invoiced memmoo, the partner handles cancellation and refunds for the amounts it collected. Its commercial terms may govern price, term, billing cycle, payment, notice and refund rights.
- Contact the CSP partner named on the quote or invoice.
- Ask it to confirm the effective cancellation date, final invoice, credit or refund in writing.
- Retain the partner's acknowledgement and reference.
memmoo will reasonably support the partner, provide relevant records available to us, stop provisioning on the properly confirmed date, and coordinate qualifying rights granted directly by memmoo. Contact legal@memmoo.com for such rights. memmoo cannot directly refund fees collected by the CSP partner.
4. Distributor and reseller purchases
If a memmoo distributor or reseller quoted and invoiced you, its agreement governs cancellation, notice periods, refunds and timelines, subject to any end-customer rights expressly granted by memmoo.
- Contact the organisation named on the quote or invoice.
- Submit the request through its required channel and retain the reference.
- Obtain written confirmation of the effective cancellation date, final charges and any credit or refund.
5. Direct purchases from Kloudpad Inc.
This section applies where Kloudpad Inc. invoiced you directly under a memmoo Order Form and applicable subscription agreement.
5.1 How to cancel

| 3. End-date confirmation | Within 3 business days after receiving required information, we confirm the end date, expected access, data handling, and any final invoice, credit or refund. |
| 4. Service ending | Unless the agreement permits earlier termination, access continues until the confirmed end date. Affected co-workers and user access then stop. |
| 5. Data | Export customer-controlled data before the end date. Remaining data is handled under the agreement, DPA and Privacy Policy. |
5.2 Notice periods

5.3 Refund eligibility

5.4 No refund abuse
memmoo may deny or limit a discretionary or evaluation-period refund where there is reasonable evidence of fraud, deliberate over-consumption, repeated refund cycling, chargeback abuse, manipulation of usage records, breach of service restrictions, or other misuse. This does not permit refusal of a verified billing correction or a refund required by law or express contract.
5.5 Add-ons, packs and one-off fees

5.6 Refund processing times

5.7 Overage disputes
Where an Order Form provides for overage, illustrative rates may include $40 per 1,000 workflow actions or $25 per 1,000 actions on an eligible Transform plan. The Order Form, active price schedule or contract controls.
- Submit a ticket to support@memmoo.com within 30 calendar days after the invoice date.
- Include invoice number, disputed line, billing period and reason.
- Within 5 business days after receiving required information, we will provide an itemised explanation or status update.
5.8 Automatic renewal
Direct subscriptions renew automatically unless cancelled within the notice period or the Order Form states otherwise. We will send the billing contact a reminder at least 30 days before annual renewal and at least 7 days before monthly renewal.
6. Data access after cancellation
- Export required data before the effective cancellation date.
- Customer access and associated co-workers end on the confirmed termination or expiry date.
- Account information, customer content, logs and backups are handled under the Privacy Policy, DPA and law.
- Cancellation does not require immediate deletion of records retained for billing, tax, security, dispute or legal purposes.
7. Matters this policy does not limit or replace
- Non-excludable consumer or statutory rights
- Microsoft's marketplace contract, billing rules or current support process
- CSP, distributor or reseller terms for amounts they invoiced or collected
- The applicable Order Form, Master Subscription Agreement or negotiated enterprise terms
- Data deletion and retention obligations in the Privacy Policy and DPA
- Service-credit rules in an applicable SLA

9. Changes to this policy
We may update this policy for changes in purchasing channels, subscription functionality, pricing, refund administration, law or contracts. New versions will state their version and effective date.
This policy must remain aligned with the active pricing page, Order Forms, Master Subscription Agreement, marketplace listing and amendment terms, partner agreements, Privacy Policy, Support Policy, Service Level Agreement, Data Processing Addendum and Sub-processor Register.
Kloudpad Mobility Research Private Limited (CIN U64202KL2013PTC034312) contracts Microsoft Marketplace and Microsoft CSP purchases and is the controller for website visitors, trials and prospects. Kloudpad Inc. (File 10007782) contracts direct purchases and distributor or reseller quotes. Governing law is India, with exclusive jurisdiction in the courts of Ernakulam, Kerala.
